GENERAL TERMS AND CONDITIONS OF BUSINESS
1. Purview
1. The present General Terms and Conditions of Business apply to contracts between translators and their clients except as otherwise expressly agreed or prescribed by mandatory provisions of law.
2. The client's General Terms and Conditions of Business are binding for the translator only if the translator has expressly accepted them.
2. Scope of the Assignment
1. The translation will be carried out exercising due care according to the principles governing proper practice of the profession. The client receives the contractually agreed copy of the translation.
3. Client's Duty to Assist and Inform
1. The client shall inform the translator in good time of any specific form the translation is to take (e.g. translation on data carriers, number of copies, text ready for press, outward appearance, etc.).
2. The client shall provide the translator with any information, records and data necessary for carrying out the translation (glossaries, illustrations, drawings, tables, abbreviations, etc.). The client shall do so of his own accord when the order is placed.
3. The client bears responsibility for any errors arising from failure to discharge the aforesaid obligations.
4. Rectification of Faults
1. The translator reserves the right to rectify faults. The client has to assert the respective claim and specify the fault within a period of two weeks from submission of the translation.
2. If rectification by amendment or substitution proves to be abortive, the statutory warranty rights will be revived unless otherwise agreed
5. Liability
1. The translator is liable only for damage caused intentionally and by gross negligence. Liability for minor negligence arises only upon fundamental breach of contract.
2. The translator's liability cannot exceed the agreed fee (amount billed).
6. Professional Secrecy
1. The translator undertakes that he will treat in confidence the information, records and data disclosed to him by the client in connection with the assignment.
7. Fee and Basis of Calculation
1. The length of the translation is expressed in the number of standard lines of the translated text. A standard line is considered to be 55 characters including blanks.
2. The fee is due for payment within 14 days from submission of the translation.
3. In addition to the agreed fee, the translator has the right to refund of actual expenses incurred. VAT is invoiced separately.
8. Retention of title
1. The translation remains the property of the translator and the client has no right of use until payment has been made in full.
9. Applicable Law
1. The assignment and all rights ensuing from it shall be governed and construed in accordance with the laws of Germany.
2. In the event that any individual provision be held unenforceable, it will not affect the validity and enforceability of the remaining terms and conditions.
